Board of Directors and Functional Committees

The Company’s Board of Directors resolved on March 20, 2020 to establish the "Board of Directors' Performance Evaluation Method", the scope of which is to evaluate the performance of the Board of Directors and the functional committees established by the Company.

The performance evaluation may be conducted by the Board of Directors through internal self-evaluation, self-evaluation by Board members and performance evaluation by an external independent organization or a team of experts and scholars.

The evaluation of the internal performance of the Board as a whole is conducted by the Company's governance unit after the end of the year and the results are presented at the most recent Board meeting after completion and will be used as one of the references for future selection or nomination of directors.

The evaluation of the overall Board of Directors for the 2021 was completed at the beginning of 2022 and the average score for each component of the evaluation was 4.84-4.89 out of 5, indicating that the overall operation of the Board of Directors of the Company was good and the results were presented to the Board of Directors at its meeting on March 21, 2022. The Company will continue to enhance the effectiveness of corporate governance based on the results of the 2021 Board of Directors' evaluation.
